THIS IS AN AGREEMENT BETWEEN YOU OR THE ENTITY THAT YOU REPRESENT ( HEREINAFTER “YOU” or “YOUR”) AND Kris Kross (HEREINAFTER “Ffh|Erp”) GOVERNING YOUR USE OF Ffh|Erp SUITE OF ONLINE BUSINESS PRODUCTIVITY AND COLLABORATION SOFTWARE IF YOU ARE BASED IN INDIA.

Parts of this Agreement

This Agreement comprises the General Terms and, if applicable, Service Specific Terms for individual Services. In case of any conflict, the Service Specific Terms take precedence.

Acceptance of the Agreement

You must be of legal age to enter into a binding agreement in order to accept the Agreement . If you do not agree to the General Terms, do not use any of our Services. If you agree to the General Terms and do not agree to any Service Specific Terms, do not use the corresponding Service. You can accept the Agreement by checking a checkbox or clicking on a button indicating your acceptance of the Agreement or by actually using the Services.

Description of Service

We provide cloud software and applications for businesses, including associated offline and mobile applications (“Service” or “Services”). You may use the Services for your personal and business use or for internal business purposes in the organization that you represent. You may connect to the Services using any Internet browser supported by the Services. You are responsible for obtaining access to the Internet and the equipment necessary to use the Services. You can create and edit content with your user account and if you choose to do so, you can publish and share such content.

Beta Service

We introduce certain Services as closed or open beta services (referred to as ‘Beta Service’ or ‘Beta Services’) for testing and evaluation purposes. You acknowledge that we have sole authority to determine the testing and evaluation period for Beta Services. We will assess the success of this testing and decide whether to offer Beta Services commercially. Subscribing to a Beta Service does not obligate you to acquire a paid Service. We retain the right to fully or partially discontinue any Beta Service, temporarily or permanently, with or without notice. Ffh|Erp is not liable to you or any third party for harm resulting from modifying, suspending, or discontinuing Beta Services.

Free Trial

  • If you sign up for a free trial of any Services, Ffh|Erp will grant you access to those Services for testing purposes at no cost. This trial period lasts until one of the following occurs:
    • The free trial period ends (unless you terminate it earlier).
    • You begin a paid subscription for the Services.
    • Ffh|Erp terminates the trial at its discretion.
  • During the free trial, any data you input and customizations you make will be permanently lost unless you:
    • Purchase the corresponding paid subscription plan.
    • Buy applicable Service upgrades.
    • Export your data before the trial period ends.
  • It’s important to note that Services provided during the free trial come without any warranty, covenant, support, or liability, as permitted by law. 🌟
  • Currently we do not offer any free trial for services

User Sign up Obligations

  • To access or use the Services, you must register for a user account and provide all necessary information.
  • If you’re representing an organization and intend to use the Services internally, we recommend that all users from your organization sign up using corporate contact details, especially corporate email addresses.
  • You agree to:
    • Provide accurate, current, and complete information during sign-up.
    • Keep this information up-to-date.
  • If you provide false, outdated, or incomplete information, Ffh|Erp reserves the right to terminate your user account and deny future use of the Services. 

Restrictions on Use

  1. You are prohibited from transferring the Services to any third party or making them available to others.
  2. Prior written permission is required to provide any service based on the Services.
  3. User licences cannot be shared or used by multiple individuals unless reassigned to new users.
  4. Disassembling, reverse engineering, or decompiling the Services is not allowed except as permitted by applicable law.
  5. When using third-party links, you must agree to their terms and conditions.
  6. Posting links to third-party sites or using their logos without permission is prohibited.
  7. Unauthorised access to the Services or related systems is not allowed.
  8. Using the Services in a way that damages servers, networks, or computer systems is prohibited.
  9. Storing harmful software or interfering with the integrity, security, or performance of the Services is not allowed.
  10. Sharing information that belongs to others without consent is prohibited.
  11. Violating any applicable laws is not allowed.
  12. Using the Services for competitive or benchmarking purposes is prohibited.
  13. Do not remove or obscure proprietary notices in the Services.
  14. use our Services in any manner that threatens the unity, integrity, defence, security or sovereignty of India, friendly relations of India with other countries, or public order, or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting other countries;
  15. create a false identity to mislead any person as to the identity or origin of any communication;
  16. use the services for transmitting information that is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity or agency for financial gain or to cause any injury to any person;
  17. use the services in a manner that relates to or encourages any activity prohibited by law in India.

Spamming and Illegal Activities

You are solely responsible for the content you transmit through the Services. Do not use the Services for illegal purposes or to transmit material that is defamatory, harassing, abusive, harmful, vulgar, obscene, racially objectionable, or infringing on intellectual property rights. Additionally, avoid sending spam or unsolicited mass emails. We reserve the right to terminate your access if there are reasonable grounds to believe you’ve engaged in illegal or unauthorised activity.

Third Party Applications

Ffh|Erp Services integrate with various third-party applications (referred to as ‘Third Party Applications’). To use these applications, you may need to accept their terms of service and privacy policies (‘Third Party Terms’). It’s your responsibility to read and understand these Third Party Terms before accessing or using any Third Party Application. Please note that Ffh|Erp is not liable for any Third Party Applications. While we’ll make efforts to provide advance notice, Ffh|Erp reserves the right to suspend, restrict, disable access to, or remove any Third Party Application from Ffh|Erp Services at our discretion, without liability to you. This includes situations where there may be a loss of profits, revenue, data, goodwill, or other intangible losses.

Fees and Payments

  1. Subscription Plans and Renewal:
  • Ffh|Erp Services offer various subscription plans with different durations.
  • Payments for plans less than a year can be made via Credit Card.
  • Subscriptions automatically renew unless you downgrade to a free plan or explicitly opt out.
  • Renewal fees are charged to the last-used Credit Card.
  • You can change payment details for renewal if needed.     

2.Price Changes and Free Services:

  • Prices may change periodically, but any increase applies after your current billing cycle.
  • You won’t be charged for using free Services unless you choose a paid subscription.

3.Taxes:

  • If applicable, Ffh|Erp will invoice you for taxes (e.g., GST, VAT, sales tax).
  • You’re responsible for paying these taxes in addition to subscription fees.
  • Ffh|Erp provides invoices to help you claim input tax credit.

Organization Accounts and Administrators

When signing up for an organization account, you can designate one or more administrators. These administrators have the authority to configure services according to your organization’s needs and manage end users within the account. If a third party creates and configures the account on your behalf, that third party likely assumes the administrator role. It’s essential to establish a suitable agreement with the third party, specifying their roles and restrictions as administrators.

As the account owner, you have several responsibilities:

  1. Safeguard the confidentiality of your organization account password.
  2. Appoint competent individuals as administrators to manage the account.
  3. Ensure that all activities related to the organization account comply with the agreement.

Ffh|Erp is not responsible for account administration or internal management of services. To prevent loss of control over administrator accounts, you should take necessary precautions. If you need to recover control, consider specifying a process for account recovery. Otherwise, Ffh|Erp may grant control to an individual who provides satisfactory proof of authorization on behalf of the organization. Remember that Ffh|Erp acts in good faith in such matters, and you agree not to hold them liable for any consequences.

Personal Information and Privacy

When you use the Ffh|Erp Service, any personal information you provide is subject to Ffh|Erp’s Privacy Policy. By electing to use the Service, you implicitly accept the terms outlined in the Ffh|Erp Privacy Policy.

As a user, it’s essential to:

  • Maintain the confidentiality of your username, password, and other sensitive details.
  • Be aware that you are responsible for all activities within your user account.
  • Promptly report any unauthorised use of your account to support@kriskrossinc.com or by calling the numbers listed on Ffh|Erp’s contact page.

Please note that Ffh|Erp is not liable for any loss or damage resulting from unauthorised access or use of your user account.

Communications from Ffh|Erp

When using the Ffh|Erp Service, you may receive various communications from Ffh|Erp. These include service announcements, administrative messages, and newsletters. It’s important to recognize that these communications are integral to your use of the Services.

Regarding privacy, we offer an option to opt out of receiving newsletters. However, please note that you cannot opt out of receiving service announcements and administrative messages.

Complaints

If Ffh|Erp receives a complaint related to your activities while using the Services (except where the grievance redressal mechanism applies), they will forward the complaint to your primary email address. You are required to respond directly to the complainant within 10 days of receiving the forwarded complaint. Additionally, copy Ffh|Erp in your communication. Failure to respond within the specified time frame may result in Ffh|Erp disclosing your name and contact information to the complainant, allowing them to take legal action.

Inactive User Accounts Policy

Unpaid, inactive User account date will be retained or deleted as per our Data deletion policy

Hosting Location

Ffh|Erp is hosted in Servers in the Data Center in Germany. In future we might change the server location or add additional servers as per requirement.

Data Ownership

We respect your right to ownership of content created or stored by you. You own the content created or stored by you. Unless specifically permitted by you, your use of the Services does not grant Ffh|Erp the licence to use, reproduce, adapt, modify, publish or distribute the content created by you or stored in your user account for Ffh|Erp’s commercial, marketing or any similar purpose. But you grant Ffh|Erp permission to access, copy, distribute, store, transmit, reformat, publicly display and publicly perform the content of your user account solely as required for the purpose of providing the Services to you.

User Generated Content

You may transmit or publish content created by you using any of the Services or otherwise. However, you shall be solely responsible for such content and the consequences of its transmission or publication. If you are a publisher of news and current affairs content as defined under Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules 2021, you shall furnish details to the Ministry of Information and Broadcasting as required by rule 18. Any content made public will be publicly accessible through the internet and may be crawled and indexed by search engines. You are responsible for ensuring that you do not accidentally make any private content publicly available. Any content that you may receive from other users of the Services, is provided to you AS IS for your information and personal use only and you agree not to use, copy, reproduce, distribute, transmit, broadcast, display, sell, licence or otherwise exploit such content for any purpose, without the express written consent of the person who owns the rights to such content. In the course of using any of the Services, if you come across any content with copyright notice(s) or any copy protection feature(s), you agree not to remove such copyright notice(s) or disable such copy protection feature(s) as the case may be. By making any copyrighted/copyrightable content available on any of the Services you affirm that you have the consent, authorization or permission, as the case may be from every person who may claim any rights in such content to make such content available in such manner. Further, by making any content available in the manner aforementioned, you expressly agree that Ffh|Erp will have the right to block access to or remove such content made available by you if Ffh|Erp receives complaints concerning any illegality or infringement of third party rights in such content. By using any of the Services and transmitting or publishing any content using such Service, you expressly consent to determination of questions of illegality or infringement of third party rights in such content by the agent designated by Ffh|Erp for this purpose.

Sample files and Applications

Ffh|Erp may provide sample files and applications for the purpose of demonstrating the possibility of using the Services effectively for specific purposes. The information contained in any such sample files and applications consists of random data. Ffh|Erp makes no warranty, either express or implied, as to the accuracy, usefulness, completeness or reliability of the information or the sample files and applications.

Trademark

Ffh|Erp, Ffh|Erp logo, the names of individual Services and their logos are trademarks of Kris Kross.. You agree not to display or use, in any manner, the Ffh|Erp trademarks, without Ffh|Erp’s prior permission.

Disclaimer of Warranties

You expressly understand and agree that using the services is solely at your own risk. The services are provided on an ‘as-is’ and ‘as-available’ basis. Ffh|Erp explicitly disclaims all warranties, whether express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. Ffh|Erp does not guarantee that the services will be uninterrupted, timely, secure, or error-free. Any material downloaded or obtained through the services is at your discretion and risk, and you will be solely responsible for any damage to your computer system, mobile telephone, wireless device, or data resulting from the use of the services or the download of such material. No advice or information, whether written or oral, obtained from Ffh|Erp, its employees, or representatives, creates any warranty not expressly stated in the agreement.

Limitation of Liability

You agree that Ffh|Erp shall not be liable for any consequential, incidental, indirect, special, punitive, or other loss or damage resulting from your use of or inability to use the service. This includes loss of business profits, business interruption, computer failure, and loss of business information. Even if Ffh|Erp has been informed of the possibility of such damage, its entire liability to you for any service—whether direct or indirect—shall not exceed ten thousand rupees (₹ 10,000) or the fees paid by you during the twelve (12) months prior to the first event giving rise to such liability, whichever is lower.

Indemnification

You agree to indemnify and hold harmless Ffh|Erp, its officers, directors, employees, suppliers, and affiliates, from and against any losses, damages, fines and expenses (including attorney’s fees and costs) arising out of or relating to any claims that you have used the Services in violation of another party’s rights, in violation of any law, in violations of any provisions of the Agreement , or any other claim related to your use of the Services, except where such use is authorized by Ffh|Erp.

Governing law and Jurisdiction

Any controversy or claim arising out of or relating to the Terms shall be settled and adjudicated exclusively by the courts of Chennai in accordance with the laws of India without regard to conflict of law principles.

Suspension and Termination

In the event of suspected illegal activity, extended inactivity, or requests from law enforcement or government agencies, we reserve the right to suspend your user account or temporarily disable access to any Service, either in part or entirely. If you object to the suspension or disabling of your account, please contact Support at kris kross within thirty days of receiving the notification. After thirty days, we may terminate a suspended or disabled user account. Additionally, we will honour your request to terminate your user account.

In addition, we reserve the right to terminate your user account and deny access to our services if we reasonably believe that you have violated the Agreement.

Modification of Terms of Service

We may modify this Agreement upon notice to you at any time through a service announcement or by sending email to your primary email address. If we make significant changes to the Agreement that affect your rights, you will be provided with at least 30 days advance notice of the changes by email to your primary email address. You may terminate your use of the Services by providing Ffh|Erp notice by email within 10 days of being notified of the availability of the modified Agreement if the Agreement is modified in a manner that substantially affects your rights in connection with use of the Services.
